Participation Terms

The following Terms and Conditions (these “Terms”) apply to you and any party you are registering for participation in any event organized or presented by Raise Conferences, LLC ("Raise"), whether virtual or in-person (collectively a "Raise Event"). By completing the online invitation request (“Invitation Request”) or registering  for a Raise Event (“Event Registration”), each person (“Participant”) hereby agrees to the following.

1)  These Terms are subject to Raise Conferences, LLC’s Privacy Policy (the “Privacy Policy”), which governs Raise’s collection and use of the Participant’s personal data.  Please click here to review the Privacy Policy .

2)  Each Participant must (a) be at least 21 years of age and (b) have a valid Event Registration to participate in a Raise Event. 

3)  Raise reserves the right to revoke any Event Registration at its sole discretion.  If an Event Registration is revoked, a full refund will be issued.

4)  Only the individual named in an Event Registration can use that Event Registration. Each Event Registration is non-transferable without the prior consent of Raise.

5)  Unless a Participant requests a refund at least 20 days prior to a Raise Event, such Participant will not receive a refund for an unused Event Registration.

6)  Each Participant is specifically invited to a Raise Event, and Raise will verify that each Participant’s Event Registration corresponds to such invitation.  Each Participant is categorized as follows:

a) General Partner (“GP”):  Participants who fundraise and make investment decisions for a venture fund.
b) Limited Partner (“LP”): Participants who invest in venture funds either individually or through an entity.
c) Speaker (“Speaker”):  Participants who are presenting or moderating at a Raise Event and are not a GP or LP.
d) Sponsor (“Sponsor”):  Participants who are funding and/or organizing a Raise Event and are not an LP, GP, or Speaker.
e) RAISE Partner (“Partner”): Participants who help in the planning, review of Invitation Requests, and logistical operations of Raise.

7) Each Participant hereby grants Raise the right to distribute the name and company affiliation of such Participant to all other Participants. Each GP Participant hereby grants Raise the right to distribute the name, company affiliation, and registration email address to all Sponsor Participants and all Partner Participants. Except as granted within these Terms, set forth in the Privacy Policy, or otherwise granted in writing or through web form acknowledgement by a Participant, no additional information about a Participant may be distributed.

8) 
 For some Raise Events, each GP is invited to complete an online Invitation Request.  By completing the Invitation Request, the GP grants Raise the right to distribute the information in the Invitation Request to Partners for the sole use of reviewing, rating, and otherwise evaluating the GP.  The Partners will (a) review the Invitation Request, (b) select the GPs to invite to the RAISE Event, and (c ) select the GPs who will participate in the Presentation Program (“GP Presenters”).

9)  During completion of the Invitation Request, the GP may elect to publish the Invitation Request to each LP (a “Portal Profile”).  Each GP who submits a Portal Profile hereby (a) grants Raise the right to electronically distribute the Portal Profile to every LP and (b) acknowledges and agrees that Raise will not be responsible for any further distribution of any Portal Profiles the LPs or any third-parties.

10)  Any Participant who submits an Invitation Request, an Event Registration, and/or Portal Profile (a “Submitting Participant”) hereby grants to Raise a perpetual, irrevocable, non-exclusive, royalty-free, and non-transferable license to (a) combine any information in such Invitation Request, Event Registration, and/or Portal Profile (“Submitted Information”) with the Submitted Information of other Submitting Participants and/or materials from external data sources, to create an anonymous and aggregated report (the “Aggregated Data”) and (b) present, distribute, display, reproduce, publish, and otherwise use the Aggregated Data during and after a Raise Event.

11)  During a Raise Event, each GP Presenter presents live (collectively, a “GP Presentation '').  By participating as a GP Presenter, you hereby (a) grant Raise permission to (i) make video and audio recordings of your GP Presentation available to all other Participants during the Raise Event and (ii) combine your GP Presentation with your Portal Profile and make them available to LPs on-demand for 180 days after a Raise Event and (b) acknowledge and agree that Raise will not be responsible for any further distribution of any GP Presentation and/or Portal Profile by the LPs or any third-parties.

12) In connection with Raise Events, Participants may be offered the opportunity to (a) attend the Raise Event virtually through the Internet, and/or (b) attend the Raise Event in-person in certain cities (a “In-Person Events”).  Each person attending an In-Person Event (a “Raise In-Person Participant”) hereby agrees to the following:

a) Raise In-Person Participants must be at least 21 years of age.
b) Raise makes no guarantee that (i) a Raise In-Person Event will be held at a location near each Participant or (ii) every Raise In-Person Event will have room to accommodate all Participants.
c) Photographs taken by Raise’s photographer at any Raise In-Person Event may include a Raise In-Person Participant’s image, name, and company affiliation. By attending and/or participating in any Raise In-Person Event, each Raise In-Person Participant hereby grants Raise permission to use such Raise In-Person Participant’s photograph, image, and likeness for any purpose, including, but not limited to, commercial purposes, without compensation or credit to such Raise In-Person Participant, in any and all media.  
d) Each Raise In-Person Participant understands that participating in any Raise In-Person Event is voluntary and may involve certain risks of physical injury, damage to property, and other damages or losses that may be sustained by a Raise In-Person Participant. Each Raise In-Person Participant assumes all risk of damages, property loss, and personal injury which may occur by participating in any Raise In-Person Event.

13) IN NO EVENT SHALL RAISE OR ITS SPONSORS BE LIABLE TO ANY PARTICIPANTS, OR ANY OTHER PERSON OR ENTITY FOR (a) ANY PERSONAL INJURY OR DAMAGES TO PROPERTY, (b) DAMAGES FOR LOSS OF BUSINESS PROFITS OR OTHER PECUNIARY LOSS, INCLUDING ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR SIMILAR DAMAGES ARISING OUT OF ANY PARTICIPANT’S PARTICIPATION IN ANY RAISE EVENT, EVEN IF RAISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, (c) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT IN RAISE OR THE RAISE WEBSITE, (d) ANY UNAUTHORIZED ACCESS TO OR USE OF THE RAISE WEBSITE OR INFORMATION STORED THEREIN, (e) ANY INTERRUPTION OR CESSATION OF TRANSMISSION OF RAISE, OR (f) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE RAISE WEBSITE BY ANY THIRD PARTY.

14)  EXCEPT AS MAY BE EXPRESSLY SET FORTH IN THESE TERMS, PARTICIPANT’S PARTICIPATION IN ANY RAISE EVENT, AND ALL SERVICES AND PRODUCTS PROVIDED IN CONNECTION WITH ANY RAISE EVENT, ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY OF ANY KIND, AND NO OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR OTHERWISE, ARE MADE WITH RESPECT TO THE SAME, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR SAFETY, OR ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING. RAISE EXPRESSLY DISCLAIMS ANY WARRANTIES NOT EXPRESSLY SET FORTH HEREIN.

15)  Each Participant agrees to indemnify, defend, and hold Raise and its officers, managers, members, employees, volunteers, agents, affiliates, and representatives harmless from and against any and all claims, demands and all other liabilities, including, but not limited to, costs and attorneys’ fees, made by any third-party arising out of or in connection with such Participant’s involvement with any Raise Event or violation of these Terms.

16)  The Terms will be governed by the laws of the State of Colorado, without regard to its principles of conflicts of laws. Each Participant and Raise here by irrevocably submit to the exclusive jurisdiction of the United States federal and state courts located in Denver, Colorado and agrees that any such court will be the proper forum for the adjudication of any dispute arising hereunder.

Raise is owned and managed by Raise Conferences, LLC.  Raise is a venture capital conference, which provides a forum for potential venture capital investors (the “Potential Investor”) to network and potentially source investment opportunities at the Potential Investor’s sole discretion. Each Potential Investor agrees and understands that neither Raise nor any of its producers or sponsors (listed at https://www.raiseglobal.co) provides any investment advice or recommendations with respect to any particular investment opportunities, companies, funds, or asset classes. Raise makes no representations or warranties as to the completeness or accuracy of information conveyed about investment opportunities. The Potential Investors must conduct their own due diligence on any investment that they choose to make. Whether and how to use information gained through Raise or a Raise Event is each Potential Investor’s individual and personal choice.  Each Potential Investor is solely responsible for such Potential Investor’s own investment decisions. All investment opportunities presented by Raise or a Raise Event involve a high degree of risk.  All Potential Investors agree that they are able to bear the risk of complete financial loss. No person or entity affiliated with Raise will be held responsible for any Potential Investor’s use of the information, investment decision, or the results of any investment.
